End User License Agreement

1. Definitions and Interpretation

Key Definitions:

• Agreement: This agreement and its schedule
• Product: MultiPortal as detailed in Schedule 1
• Terms: The terms and conditions of this Agreement

Interpretation Rules: Headings are convenience only; singular includes plural; gender-inclusive language; references include amendments and replacements; "includes" is not limiting; references apply to whole and parts collectively and individually.

2. Acceptance

Agreement governs Products made available to you. Upon selecting 'Accept', paying license fee, or downloading/installing/using the Product (whichever comes first), you receive a revocable, non-transferable, non-exclusive and limited licence strictly per Terms. Non-acceptance means you must not install, use, or copy the Product.

3. License Grant

Permitted Use:

• Install and use Product on single computer, OR
• Install and create archival-copy on storage medium (non-hard drive) for reinstallation only

Prohibited Installation:

• Cannot install on multiple computers simultaneously
• Cannot use on shared-use systems
• Cannot deploy on multi-user networks
• Cannot use on multi-computer configurations allowing multiple users unless you hold separate licenses for each computer

4. Limitations

Transfer Restrictions:

You may not assign rights/obligations, redistribute, encumber, sell, rent, lease, sublicense, or transfer rights to Products.

Use Limitations:

• Cannot share Licence or Product contents
• Cannot install on systems with multiple computers
• Cannot permit use/copying/installation by multiple users or computers (unless holding multiple valid licenses)
• Cannot decompile, reverse engineer, disassemble, or derive source code
• Cannot broadcast, transmit, or display Product publicly
• Cannot post Product on websites
• Cannot use for commercial purposes

Derived Works:

Cannot modify Product, create derivative works, or develop products with same primary function.

Alteration:

Cannot modify Product or create derivative works/documentation (including translations). Cannot alter files or libraries in any Product portion.

Copying:

Cannot copy except as inherently demanded by licensed use (temporary memory copies only, not permanently stored).

5. Ownership

MultiPortal.io Pty Ltd or its subsidiaries, affiliates, and suppliers retain all rights, title and interest, including all copyright and intellectual property rights, in and to, the Product and all copies thereof.

6. Warranties and Exclusions

• Competition and Consumer Act 2010 and Australian laws may imply guarantees, warranties, conditions, and obligations ("Implied Terms")
• Liability limited to resupply, repair, replacement of Product or associated costs (extent permitted by law)
• All representations, guarantees, conditions, warranties expressly excluded unless explicitly agreed in writing
• Nothing excludes, restricts, or modifies rights under Implied Terms

7. Exclusion of Damages

MultiPortal.io Pty Ltd, its directors, officers, employees, or agents will not be liable to you or any other party for indirect, consequential, special, incidental, punitive or exemplary damages of any kind (including loss of revenues or profits or loss of business) arising from Terms, Product, software, or support services.

8. Limitation of Liability and Remedies

MultiPortal.io Pty Ltd's ability to disclaim implied warranties is effective to maximum extent permitted by applicable jurisdiction.

9. Licensee Indemnity

You will indemnify MultiPortal.io Pty Ltd, its directors, officers, employees, agents and contractors in full against any liability, loss, damages, costs and expenses as a result of or in connection with your use of the Product, including but not limited to, any modification by you of the Product which causes the Product to infringe the intellectual property rights of a third party.

10. Variation of Terms

MultiPortal.io Pty Ltd reserves right to amend Terms without notice; you become subject to Terms in force at purchase/download time.

11. Termination

MultiPortal.io Pty Ltd may terminate immediately without notice if you breach Terms. You must destroy all Product copies upon termination.

12. General Provisions

• Prohibited provisions are ineffective only to extent of prohibition in that jurisdiction
• Void/illegal/unenforceable provisions in one jurisdiction don't affect validity elsewhere
• Failure to exercise rights doesn't waive those rights
• Agreement constitutes entire agreement and supersedes previous understandings
• Void clauses may be severed without affecting other provisions
• Agreement governed by and construed per New South Wales laws
